The problem is that they may have too few employees or support a valuation that is too small for an ESOP to make economic sense. What are these companies to do if they want to transition to employee ownership? An employee ownership trust, long popular in the UK but not receiving attention in the USA until recently, could be a solution. It is flexible, fairly simple in structure, and offers some tax benefits (though not as much as an ESOP).
